Terms of Service

1. Acceptance of Terms
By accessing or using Feelter services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service provided by Feelter, a company incorporated under the laws of Romania ("Company", "we", "us", or "our").
2. Description of Service
Feelter provides behavioral intelligence services including:
- Market Analysis: Behavioral pattern analysis across European markets
- Customer Intelligence: Psychological insights into customer decision-making
- Competitive Analysis: Understanding behavioral factors in competitive landscapes
- Strategic Consulting: Behavioral intelligence-driven business recommendations
- Data Analytics: Processing and analysis of publicly available behavioral data
3. User Accounts and Registration
To access certain features of our Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or are used for unlawful purposes.
4. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights of others
- Transmit harmful, threatening, or offensive content
- Attempt to gain unauthorized access to our systems
- Use the Service for competitive intelligence against Feelter
- Reverse engineer or attempt to extract our proprietary methods
- Share login credentials with unauthorized parties
- Use automated systems to access the Service without permission
5. Intellectual Property Rights
5.1 Our Intellectual Property
The Service and its original content, features, and functionality are owned by Feelter and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
5.2 Client Insights
You retain ownership of insights about your business, customers, and markets derived from our analysis. These insights become your intellectual property upon completion of service delivery and full payment.
5.3 Our Methodologies
We retain ownership of our analytical methods, algorithms, data processing techniques, and general behavioral intelligence methodologies. These remain our proprietary intellectual property.
5.4 Data and Analytics
While you own insights specific to your business, we retain the right to use anonymized, aggregated data to improve our services and develop industry benchmarks, provided such use does not identify you or your business.
6. Payment Terms
6.1 Service Fees
Fees for services are as specified in your service agreement or as published on our website. All fees are in EUR unless otherwise specified.
6.2 Payment Schedule
- Project-based services: 50% upon initiation, 50% upon delivery
- Ongoing services: Monthly or quarterly in advance
- Enterprise services: As specified in individual agreements
6.3 Late Payment
Late payments may result in service suspension and incur late fees of 1.5% per month. We reserve the right to pursue collection costs and legal fees for overdue accounts.
6.4 Refunds
Services fees are generally non-refundable once work has commenced. Refunds may be considered on a case-by-case basis for services not yet delivered.
7. Data Protection and Privacy
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR. By using our Service, you consent to such processing and warrant that all data provided is accurate.
We implement appropriate technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction.
8. Confidentiality
Both parties acknowledge that they may have access to confidential information. We agree to:
- Keep all client information confidential
- Use confidential information only for providing agreed services
- Not disclose confidential information to third parties
- Return or destroy confidential information upon request
This obligation survives termination of our relationship.
9. Service Availability and Support
We strive to maintain service availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.
Support is provided during business hours (CET) via email and scheduled consultations as included in your service package.
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability is limited to the amount paid for services in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, or consequential damages
- We do not warrant specific business outcomes or results
- Insights are based on available data and analytical methods; accuracy cannot be guaranteed
11. Indemnification
You agree to indemnify and hold harmless Feelter from claims, damages, or expenses arising from:
- Your use of the Service
- Violation of these Terms
- Violation of any rights of another party
- Your negligent or wrongful conduct
12. Termination
12.1 Termination by You
You may terminate your account at any time by contacting us. Termination does not relieve you of payment obligations for services already provided.
12.2 Termination by Us
We may terminate or suspend your account for:
- Violation of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- Extended inactivity
12.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases
- We will provide final deliverables for paid services
- Confidentiality obligations continue
- You retain ownership of insights already delivered
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by Dutch law, without regard to conflict of law principles.
13.2 Dispute Process
Any disputes will be resolved through:
- Direct negotiation: Good faith discussion between parties
- Mediation: Binding mediation in Amsterdam, Netherlands
- Arbitration: Final binding arbitration under ICC rules if mediation fails
13.3 Jurisdiction
For any legal proceedings not subject to arbitration, you agree to the exclusive jurisdiction of the courts of Amsterdam, Netherlands.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of the Service after changes constitutes acceptance of new Terms.
For material changes, we will provide notice via email or prominent website notice at least 30 days before the effective date.
15. General Provisions
15.1 Entire Agreement
These Terms constitute the entire agreement between you and Feelter regarding use of the Service, superseding any prior agreements.
15.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
15.3 Waiver
Failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights to any affiliate or successor.
15.5 Force Majeure
Neither party will be liable for any failure or delay in performance due to circumstances beyond their reasonable control.
